Paul, Weiss is advising a special committee of independent and disinterested directors of Priority Technology Holdings, Inc., a payments and banking solutions provider, in Priority’s take-private agreement with an investor group led by the company’s chairman and CEO. The all-cash transaction represents an enterprise value of approximately $1.6 billion.
The deal, to be financed in part by equity commitments from funds advised by Searchlight Capital Partners, L.P., is expected to close in the first half of 2027, subject to customary closing conditions.
