Paul, Weiss advised global insurance intermediary platform ANV Group Holdings Ltd. on its acquisition of Open Lending Corporation, a leading provider of insurance-backed lending enablement and risk analytics solutions for financial institutions. Under the terms of the deal, ANV acquired all outstanding shares of Open Lending common stock for $3.15 per share through an all-cash tender offer. Open Lending is now a privately held company and has been delisted from the Nasdaq.
ANV, formed following a strategic partnership between AmTrust Financial Services and Blackstone Credit & Insurance, operates a growing portfolio of specialty insurance businesses across a diverse range of risk and insurance products. The Open Lending acquisition strengthens and expands ANV’s U.S. footprint while reinforcing credit as a core insurance product for the group.
