Aptiv to Acquire Wind River for $4.3 Billion

Paul, Weiss is advising global technology company Aptiv in its $4.3 billion all-cash acquisition of Wind River from TPG Capital. Wind River is a global leader in delivering software for the intelligent edge, enabling the secure development, deployment, operations and servicing of mission-critical intelligent systems.

Aptiv will finance the transaction through a combination of cash and debt. The deal is expected to close in mid-2022, subject to customary conditions and regulatory approvals.

The Paul, Weiss team includes, among others, corporate partners Steven Williams, Scott Barshay and Caith Kushner and counsel David Sobel; litigation counsel Steven Herzog; intellectual property partner Jonathan Ashtor and counsel Marisa Geiger; executive compensation partner Lawrence Witdorchic and counsel Lisa Krausz Eisenberg and Nicole Tark; tax partner Brian Krause; real estate partner Salvatore Gogliormella; environmental counsel William O'Brien; and antitrust counsel Marta Kelly
