Oak Hill Capital to Acquire Oxford Networks

Oxford Networks, a leading fiber optic bandwidth infrastructure services provider operating in Maine, New Hampshire and Massachusetts, announced that it has entered into a definitive agreement to be acquired by Paul, Weiss client Oak Hill Capital Partners. Under the terms of the agreement, Oak Hill will acquire the company from its current private equity owners, Novacap and Bank Street Capital Partners.

At the closing of the transaction, expected in the fourth quarter, Oak Hill intends to combine the operations of Oxford with FirstLight Fiber, another Northeastern U.S. fiber provider that Oak Hill announced it had agreed to acquire from its current owner, Riverside Partners, in March. Novacap, Bank Street Capital and Riverside are expected to continue as minority partners alongside Oak Hill in the holding company for FirstLight Oxford. Financial terms of the transaction were not disclosed.

The Paul, Weiss team included corporate partners Angelo Bonvino and Eric Goodison; antitrust counsel Marta Kelly; environmental counsel William O'Brien; intellectual property counsel Menachem Kaplan; international trade counsel Richard Elliott; real estate partner Mitchell Berg; tax partner David Sicular; and employee benefits counsel Jason Ertel.
