3G Capital to Acquire Controlling Interest in Hunter Douglas in $7.1 Billion Deal

Paul, Weiss is advising 3G Capital in its acquisition of a 75% stake in Netherlands-based Hunter Douglas, the global market leader in window coverings and a major manufacturer of architectural products. Under the terms of the agreement, Hunter Douglas’s controlling shareholder, Ralph Sonnenberg, will sell his shares in the company to 3G for €175 per ordinary share, implying an enterprise value of approximately $7.1 billion. The Sonnenberg family will continue to hold a 25% interest in Hunter Douglas.

Hunter Douglas’s board of directors has entered into a separate agreement with 3G Capital and Ralph Sonnenberg to facilitate and secure a cash exit for all minority shareholders based on the same price. Completion of the transaction is subject to antitrust approvals. Stibbe is serving as co-counsel to 3G on the deal.

The Paul, Weiss team includes, among others, corporate partners Laura Turano and Scott Barshay; tax partner Jeffrey Samuels and counsel Kevin Colan; executive compensation partners Jarrett Hoffman and Jean McLoughlin; intellectual property partner Claudine Meredith-Goujon; litigation partners Geoffrey Chepiga and Jaren Janghorbani, and counsel Steven Herzog and Daniel Mason; environmental counsel William O'Brien; and antitrust counsel Marta Kelly.
