Oak Hill Portfolio Company Enters Agreement to be Acquired by Monitronics

Monitronics International, Inc. (Monitronics), the whollyowned subsidiary of Ascent Capital Group, Inc. (Ascent), entered into a securities agreement with certain funds affiliated with Oak Hill Capital Partners (Oak Hill) and certain other holders, pursuant to which Monitronics will directly and indirectly acquire all of the equity interests of Security Networks, LLC and certain affiliated entities. Paul, Weiss represented Oak Hill in the transaction. The acquisition is expected to close in mid-August 2013.
The estimated purchase price will be approximately $487.5 million in cash plus 251,800 shares of Ascent's Series A common stock with an agreed value of $20 million.
