Altimar to Combine With Fathom Digital to Create Publicly Traded Company

Paul, Weiss is advising Altimar Acquisition Corp. II, a special purpose acquisition company sponsored by an affiliate of HPS Investment Partners, LLC, in its combination with Fathom Digital Manufacturing Corporation, an industry leader in on-demand digital manufacturing services. As a result of the transaction, Fathom will become a publicly traded company listed on the New York Stock Exchange.

The transaction has a pro forma enterprise value of $1.5 billion and will be funded through a combination of Altimar’s cash in trust and an $80 million fully committed common stock private investment in public equity (PIPE) at $10.00 per share. The deal is expected to close later this year, subject to customary closing conditions.
