Corporate securities partners Mark Bergman, John Kennedy and Ray Russo contributed the article, "SEC Issues Proxy Materials Proposals," to the corporate governance special section of the November 19 issue of The National Law Journal. The article discusses the controversial SEC proposals that provide opposing approaches to address the ability of shareholders to include director nominees in a company's proxy materials, which has culminated in a debate over what constitutes an appropriate process. The proposals will continue to draw comment and criticism until ultimately resolved.
