SEC Modifies Regime Governing Cross-Border Business Combinations and other Similar Transactions

In an effort to reduce the number of requests for relief from the U.S. tender offer rules for cross-border transactions, and to otherwise reduce the areas of friction between U.S. rules and non-U.S. rules in the cross-border m&a context, the SEC has adopted various amendments to its rules governing exchange offers, tender offers, rights offerings and business combinations.
