Arco to Go Private Via $1.5 Billion Merger Deal With General Atlantic-led Consortium

Paul, Weiss is advising General Atlantic in the take-private transaction of its portfolio company Arco Platform Limited, a leading provider of software solutions for K-12 schools in Brazil. Under the terms of the deal, General Atlantic and Dragoneer Investment Group will acquire all of the outstanding shares of the company that are not held by GA, Dragoneer, the company’s founders or other rollover shareholders for a purchase price of $14 per share, a 55% premium over the unaffected trading price. The merger is expected to close during the fourth quarter of 2023 or the first quarter of 2024, subject to customary closing conditions.
