Article Discusses Buyouts to Determine Purchase Price Agreements

Corporate partner Angelo Bonvino and associate Prem Amarnani co-authored an article about the increased use of earnouts by buyers and sellers in private transactions to reach a consensus on purchase price. Published in the June 2011 issue of ABA Business Law Today, the article notes that "utilizing an earnout limits the buyer's risk that it is overpaying for an underperforming asset, while also providing the seller with what it considers appropriate deal consideration if the target business' projected performance is achieved." Kevin Levy, General Counsel of Keystone Group L.P., also contributed to the article.
