Tokyo-based securities partner Tong Yu and associates Makoto Nishigai and Mie Ono published a practical guide on drafting the MD&A section of SEC filings and offering documents used in international capital markets transactions. The guide, which has been prepared in Japanese, provides an overview of MD&A drafting considerations and also summarizes recent SEC staff comments and guidance with respect to MD&A disclosure.
