Judith Thoyer Publishes Article on Social Promises in The Deal

Corporate partner Judith R.Thoyer published an article in this week's issue of The Deal, discussing social protections in strategic mergers and how enforceable the promises made may be in the current tough financial climate. Judith states that social promises are often key to getting a merger done, including such post-closing matters as where corporate headquarters will be located; the merged company name; board members; identity of Chairman and CEO; and whether charitable and community activities will continue. Thoyer notes that in these tough times questions will be raised as to whether promises made in the optimism of a negotiated deal are enforceable when they are no longer of interest to the acquirer.
