Remote Shareholder Meetings

Tennessee corporate code has been annotated to waive certain requirements and allow corporations to conduct remote shareholder meetings provided that the corporation or its board of directors establishes certain procedures.

Eligibility Requirements/Restrictions

The Tennessee corporate code has been annotated to waive certain requirements, the result of which is to allow Tennessee Corporations to conduct remote shareholder meetings provided that the corporation or its board of directors establishes procedures to enable verified shareholders and proxyholders not physically present at the meeting with a reasonable opportunity to: i) read or hear the proceedings of the meeting substantially concurrently with such proceedings, (ii) submit questions during the meetings, (iii) be deemed present in person at the meeting and (iv) vote on matters submitted at the meeting.
