On November 10, 2009 Senator Christopher J. Dodd (D- Connecticut) circulated a discussion draft titled "Restoring American Financial Stability Act of 2009," which proposes legislation aimed at financial sector reform. This memorandum focuses on the corporate governance provisions in the discussion draft and compares them with the proposed Shareholder Bill of Rights Act of 2009 introduced by Senators Charles Schumer and Maria Cantwell in May 2009 and proposed changes to SEC disclosure rules.
