London-based securities partner Mark Bergman and associate Patricia Vaz de Almeida published an article "Through the eyes of management," which appears in the November 9 edition of International Financial Law Review. The article discusses a range of considerations relating to drafting of disclosure in the MD&A and OFR sections of SEC filings and prospectuses used in offshore offerings.
