Omni Agrees to Sell All Common Stock to Gibson

Our client, Wellspring Capital Partners, has agreed to sell its portfolio company, Omni Energy Corporation, to Gibson Energy Inc. for U.S. $445 million subject to working capital adjustments. Omni, a Louisiana-based leading privately held provider of environmental and production services to the oil and gas industry, has a strong competitive position in most major oil- and liquids-focused areas in the United States, with a significant focus on environmental and production-related activities.
