Ericsson Acquires MSS Passport Business from Nortel Networks for $65 Million

On September 24, after a 20-hour auction process, Paul, Weiss client Ericsson entered into an asset purchase agreement to acquire Nortel Network's Multi-Service Switch business (MSS) for a cash purchase price of $65 million. The acquisition is expected to give Ericsson access to a strong product portfolio and installed base in the data segment while ensuring the supply of the MSS platform for the CDMA and GSM business units that Ericsson previously acquired from Nortel, on which Ericsson was also represented by Paul, Weiss. The closing is subject to regulatory approvals and is expected to close by the end of 2010.

The Paul, Weiss team representing Ericsson included corporate partner Marilyn Sobel, counsel Ji Lu and Didier Malaquin; bankruptcy partner Steve Shimshak and counsel Diane Meyers; intellectual property counsel Claudine Meredith-Goujon; employee benefits partner Larry Witdorchic; tax partner Peter Rothenberg; and real estate partner Harris Freidus.
