Network Solutions and Web.com Announce Combination to Create Leading Web Marketing Company
Paul, Weiss advised Network Solutions, a General Atlantic LLC portfolio company, in its sale to Web.com in a transaction that will position the combined end-to-end web solutions company to capitalize on the more than $19 billion online services market for small and medium businesses.
Under the terms of the agreement, Web.com will pay Network Solutions $405 million in cash and issue 18 million shares of Web.com common stock, in addition to refinancing existing debt of Network Solutions. At the close, Paul, Weiss client General Atlantic, the majority equity holder of Network Solutions, and other current Network Solutions equity holders are expected to own approximately 37 percent of Web.com. The agreement, announced on August 3, is subject to customary approvals and is expected to close this fall.
